1. Who you are contracting with

The seller is Kleindesign LLC, a limited liability company registered in the United States, with its registered address at 904 4th Ave SW, Conrad, MT 59425, United States. Tech Retailer USA is the trading name under which Kleindesign LLC operates this website. Every invoice, contract and warranty commitment on this site is issued by Kleindesign LLC.

2. Acceptance of orders

All orders are subject to acceptance by us. An order confirmation email is an acknowledgement that we received your order, not an acceptance of it. A contract is formed when we confirm the order has been accepted or when we dispatch the products, whichever happens first.

We may decline an order for reasons including stock unavailability, a pricing or description error, a failed payment authorisation, suspected fraud, an export restriction, or where a manufacturer or distributor restricts the sale. If we decline an order after payment has been taken, we refund it in full.

Any additional or different terms proposed by the Buyer, including terms printed on a purchase order, are rejected unless we agree to them in writing.

3. Pricing

Prices are shown in United States dollars and exclude sales tax, shipping and handling unless stated otherwise. Prices are subject to change without notice, because the distribution channels we buy from adjust pricing frequently.

Written quotes are valid for the period stated on the quote. If no period is stated, a quote is valid for 7 days and remains subject to stock availability at the time you accept it.

Occasionally a product may be listed at an incorrect price because of a data or typing error. Where the error is obvious and could reasonably have been recognised as a mistake, we are not obliged to supply at that price. We will contact you, and you can either confirm at the corrected price or cancel for a full refund.

4. Taxes

The Buyer is responsible for all applicable sales, use and similar taxes. Where a valid tax exemption or resale certificate applies, it must be supplied to us before the order is invoiced. Exemptions cannot be applied retrospectively to orders that have already been processed.

5. Payment

Unless we have agreed credit terms in writing, payment is due in full at the time the order is placed. We may require advance payment, apply a credit limit, or ask for additional verification at our discretion.

For approved business, education and government accounts, purchase orders and net payment terms may be available. Accounts that fall overdue may be placed on hold, and we reserve the right to charge interest on late payment at the maximum rate permitted by applicable law.

Title to products passes to the Buyer only once payment has been received in full. Risk of loss passes on delivery of the products to the carrier.

6. Shipping and delivery

We ship throughout the United States. Standard shipping is free on qualifying orders over $500 to addresses in the continental United States. Heavy, oversized or freight class items may carry additional handling or freight charges, which are shown to you before you confirm the order.

Delivery dates given by us are estimates based on information from our carriers and suppliers. They are not guarantees, and we are not liable for delays caused by carriers, suppliers, weather, or any other cause outside our reasonable control.

The Buyer should inspect deliveries on arrival. Visible transit damage should be noted with the carrier where possible and reported to us within 10 days of delivery, as set out in our returns policy.

7. Returns and cancellations

Returns are governed by our Returns and Refund Policy, which forms part of these terms. In summary, the return window is 15 days from purchase, an RMA number must be obtained before shipping anything back, restocking fees from 20 percent may apply, and certain categories including software licenses and special order items cannot be returned.

8. Warranties

Kleindesign LLC does not manufacture the products it sells. Products are covered by the warranty offered by the original manufacturer for that product line, and that warranty is the Buyer's sole remedy for defects in the product itself.

To the maximum extent permitted by law, we disclaim all other warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non infringement. Products are otherwise supplied on an as is basis.

Nothing in this section limits any non waivable right the Buyer has under applicable United States federal or state consumer protection law.

9. Software and licensed products

Software is licensed, not sold. Use of any software supplied by us is governed by the license agreement of the software publisher, and by accepting delivery the Buyer agrees to be bound by that agreement. License keys, activation codes and subscriptions are not returnable once issued.

Certain manufacturers require resellers to pass through their own terms to marketplaces, resellers, affiliates and end users. By purchasing from us, the Buyer agrees to any such manufacturer pass through terms that apply to the products supplied.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including lost profits, lost revenue, lost data, business interruption or the cost of substitute products, whether the claim arises in contract, tort or otherwise, and even if we were advised that such damages were possible.

Our total cumulative liability for any claim relating to an order will not exceed the amount actually paid by the Buyer for the specific product or service giving rise to that claim.

11. Buyer responsibilities

The Buyer is responsible for confirming that the products ordered are suitable for the intended purpose and compatible with existing systems. Where a specification is unclear, we encourage you to ask our sales team before ordering, since compatibility errors are a common reason for returns and restocking fees.

The Buyer is also responsible for backing up its own data. We are not liable for data loss arising from installation, migration, repair or replacement of any product.

12. Export and use restrictions

Products supplied by us may be subject to United States export control laws and regulations. The Buyer agrees not to export, re export or transfer any product in breach of those laws, and not to supply products to any party or destination prohibited under United States law.

13. Intellectual property

All content on this website, including text, layout, graphics and code, is the property of Kleindesign LLC and may not be copied or reproduced without written permission. Manufacturer names, product names, logos and trademarks shown on this site belong to their respective owners and are used only to identify the products we supply. Their appearance does not imply partnership, sponsorship or endorsement.

14. Acceptable use of this website

You agree not to use this website in any way that damages it, disrupts access for others, attempts unauthorised access to any system, or collects data from it by automated means without our permission.

15. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, civil unrest, labour disputes, carrier failure, supply shortages, utility failure, cyber attack or government action.

16. Governing law

These terms are governed by the laws of the State of Montana, United States, without regard to conflict of law principles. The Buyer agrees to submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of any dispute arising out of these terms.

17. Changes to these terms

We may revise these terms from time to time. The version published on this page at the moment you place an order is the version that applies to that order.
